Welcome to Zenchronity, a software-as-a-service ("Service") that provides HR management solutions including leave tracking, evaluations, and time management modules.

By creating an account, subscribing, or using this Service, you ("Customer" or "User") agree to be bound by these Terms & Conditions ("Terms").

2.1 The Service is primarily intended for business users (B2B), but may also be available to individual customers (B2C) under these same Terms.

2.2 By registering, you confirm that you are authorised to act on behalf of your organisation and to enter into this agreement.

2.3 If you do not agree with these Terms, you should discontinue using the Service immediately.

3.1 Zenchronity provides cloud-based HR management tools such as leave tracking, evaluations, time and attendance, and related administrative features.

3.2 Zenchronity reserves the right to modify, improve, or discontinue any part of the Service at any time, at its sole discretion.

3.3 Use of the Service is at your own risk; Zenchronity is not responsible for data input errors or misuse by Users.

4.1 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

4.2 Zenchronity may suspend or terminate access if misuse, security risks, or breaches of these Terms are detected.

4.3 Zenchronity may refuse or terminate accounts that violate its Acceptable Use Policy or for any legitimate business reason.

5.1 The Service is provided on a subscription basis. Fees are shown before checkout and processed through secure payment systems.

5.2 All payments are final and non-refundable, except where required by Romanian law.

5.3 Subscriptions renew automatically unless cancelled before the renewal date.

5.4 Zenchronity reserves the right to change subscription prices or billing terms with reasonable prior notice.

You agree not to:

• use the Service for any unlawful or fraudulent purpose;
• reverse-engineer, copy, or interfere with the Service's functionality;
• upload or transmit harmful, infringing, or illegal content;
• engage in conduct that could impair or damage the Service.

Violation of this clause may result in immediate suspension or termination.

7.1 All software, design, trademarks, and materials forming part of the Service remain the exclusive property of Zenchronity.

7.2 You retain ownership of any data you input ("Customer Data"), but you grant Zenchronity a non-exclusive, worldwide, royalty-free licence to store, process, and display such data solely to operate the Service.

Personal data is processed in accordance with Zenchronity's Privacy Policy.

If you act on behalf of an organisation, you confirm that you have the authority to share the personal data of your users or employees for Service purposes.

9.1 Either party may terminate the subscription at any time with notice.

9.2 Zenchronity may suspend or terminate access immediately for non-payment, misuse, or violation of these Terms.

9.3 Upon termination, your access will cease, and data may be deleted according to Zenchronity's retention policy.

The Service is provided "as-is" and "as-available" without warranties of any kind.

Zenchronity makes no guarantees regarding uninterrupted availability, error-free performance, or suitability for a particular purpose.

To the fullest extent permitted by law:

• Zenchronity's total liability under these Terms shall not exceed the total subscription fees paid by the Customer during the 12 months preceding the claim;
• Zenchronity is not liable for indirect, incidental, or consequential damages, including loss of profit, data, or business.

These Terms and any dispute or claim arising out of or related to them shall be governed by Romanian law.

Any disputes shall be resolved exclusively by the competent courts of Romania.

By using the Service, you agree that Romanian law applies regardless of your place of residence.

Zenchronity may revise these Terms at any time. The latest version will always be posted on the website, and continued use constitutes acceptance of the updated Terms.

These Terms represent the complete agreement between you and Zenchronity and supersede any prior agreements or understandings.
